& End User Agreement

These Terms of Use and End User License Agreement ("Terms") govern your access to and use of the website located at www.gireviewers.com and any related services, software, platforms, and applications (collectively, the "Services") provided by GI Reviewers ("GIR," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
1. Acceptance of Terms
By accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. These Terms apply to all visitors, users, clients, and others who access the Services.
2. Description of Services
GIR provides clinical trial support services, including central imaging review, blinded independent central review, trial design consultation, training, and related technology platforms and software. The Services may include access to web-based applications and integrations with third-party systems used to administer and operate GIR's business.
3. License and Permitted Use
Subject to your compliance with these Terms, GIR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for their intended business purpose. You agree not to:

Use the Services for any unlawful purpose or in violation of any applicable law or regulation;

Copy, modify, distribute, sell, lease, reverse engineer, or attempt to derive the source code of any software comprising the Services, except as permitted by law;

Access or attempt to access the Services through any means other than the interfaces provided by GIR;

Interfere with, disrupt, or impose an unreasonable load on the Services or the networks connected to them;

Use the Services to transmit any malware, or to gain unauthorized access to any system or data.
4. Accounts and Security
If you are provided credentials to access any portion of the Services, you are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your account. You agree to notify GIR immediately of any unauthorized use of your account or any other breach of security.
5. Intellectual Property
All content, software, trademarks, logos, and materials made available through the Services are the property of GIR or its licensors and are protected by applicable intellectual property laws. Except for the limited license granted in Section 3, no right, title, or interest in or to the Services is transferred to you.
6. Third-Party Services
The Services may integrate with or link to third-party products and services, including accounting and financial platforms such as QuickBooks Online (Intuit Inc.). GIR's use of such third-party services is governed by the respective third party's terms and policies. GIR is not responsible for the practices, content, or availability of any third-party service.
7. Confidentiality
Information exchanged in connection with the Services, including clinical, financial, and business information, may be confidential. Each party agrees to protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information of a similar nature, and not to disclose it except as necessary to perform under these Terms or as required by law.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GIR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF GIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify and hold harmless GIR and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or your violation of these Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Massachusetts.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will revise the "Last Updated" date above. Your continued use of the Services after any such change constitutes your acceptance of the revised Terms.
